1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MCOCLOUD TECHNOLOGY PTE. LTD. ("FlareTel", "we", "us", or "our") concerning your access to and use of our website and services.

FlareTel provides ultra-low-latency network connectivity solutions for financial institutions, trading firms, and enterprises requiring high-performance network infrastructure. Our services include but are not limited to:

• Direct exchange connectivity
• Custom network routing solutions
• Managed network services
• Network performance optimization
• Market data connectivity

3. Service Level Agreement

Specific service level commitments, including uptime guarantees, latency specifications, and support response times, are defined in individual service agreements with our clients. These commitments may vary based on the services purchased and are subject to the terms of your specific service agreement.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates any applicable national or international law or regulation
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Use our services to transmit any viruses, worms, or other malicious code
• Resell or redistribute our services without express written permission

5. Fees and Payment

Service fees are specified in individual service agreements. Payment terms include:

• Fees are due according to the payment schedule in your service agreement
• All fees are non-refundable unless otherwise stated in your service agreement
• Late payments may result in service suspension or termination
• We reserve the right to change our fees with 30 days notice

6. Intellectual Property Rights

The services, website, and all related content, features, and functionality are owned by MCOCLOUD TECHNOLOGY PTE. LTD. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our proprietary content without our express written permission.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This includes but is not limited to:

• Technical specifications and network architecture
• Pricing and financial terms
• Business strategies and operations
• Customer data and usage information

8. Data Protection and Privacy

We are committed to protecting your privacy and handling your data in accordance with applicable data protection laws. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your personal information.

9. Limitation of Liability

To the maximum extent permitted by law, MCOCLOUD TECHNOLOGY PTE. LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us for the services in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless MCOCLOUD TECHNOLOGY PTE. LTD., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of our services or violation of these Terms.

11. Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, or acts of third parties such as internet service providers or network carriers.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and MCOCLOUD TECHNOLOGY PTE. LTD. regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
